Desktop Metal to Acquire EnvisionTEC, Entering Market for Volume Production Polymer Additive Manufacturing

Posted on Monday, January 18, 2021

Desktop Metal, Inc, a leader in mass production and turnkey additive manufacturing solutions, has announced the signing of a definitive agreement to acquire EnvisionTEC, a leading global provider of volume production photopolymer 3D printing solutions for end-use parts, for total consideration of $300 million, consisting of a combination of cash and newly issued Desktop Metal stock. The transaction is expected to close in the first quarter of 2021, subject to customary closing conditions. Following completion of the acquisition, EnvisionTEC will operate as a wholly owned subsidiary of Desktop Metal. EnvisionTEC founder Al Siblani will continue to serve as Chief Executive Officer of the EnvisionTEC business.

“I’m thrilled to partner with Al and the EnvisionTEC team to bring significant growth to the additive market,” said Ric Fulop, Founder and Chief Executive Officer of Desktop Metal. “EnvisionTEC is a true pioneer and responsible for many of the leading technologies widely used today to produce end-use photopolymer parts through additive manufacturing. Together, Desktop Metal and EnvisionTEC have an opportunity to shape the future of Additive Manufacturing 2.0 and transform how parts are made around the world. I look forward to welcoming EnvisionTEC to the Desktop Metal team to deliver world-class additive manufacturing solutions that help make our customers successful.”

“I am excited and honored to partner with Ric and the Desktop Metal team to deliver end-use parts in both metal and polymers as we implement Ric’s vision on the future of Additive Manufacturing 2.0,” said Siblani. “Bringing the two companies together will deliver a global footprint of customers that can cross-benefit from our combined technology platforms. I believe we have many opportunities to scale the business, disrupt traditional manufacturing, expand our customer base, and create value for our shareholders.”

Acquiring a Category Leader with a History of Innovation

As the original inventor of digital light processing (DLP) 3D printing technology, EnvisionTEC has one of the strongest intellectual property portfolios in the area-wide photopolymer 3D printing market, counting over 140 issued and pending patents, which Desktop Metal believes includes blocking intellectual property.

Today, EnvisionTEC has over 5,000 customers across a broad range of industries, including medical devices, jewelry, automotive, aerospace, and biofabrication. In addition, the company is a leader in the dental market, more than tripling the number of Envision One dental shipments from 2019 to 2020 and with over 1,000 dental customers now using its printers for end-use parts. Key customers include Cartier, Celgene, Ford, Hasbro, Oral Arts, Stuller, and Smile Direct Club. In addition to extensive customer adoption, EnvisionTEC has a broad library of over 190 materials, featuring photopolymer resins with material properties in-line with or exceeding those of thermoplastics and multiple FDA-listed and 510(K)-cleared resins for the manufacturing of medical devices. The company augments its robust proprietary material development efforts with a selectively open business model, leveraging relationships with major chemical companies such as Henkel Loctite, DSM Somos, Detax, Keystone, and Arkema to sell third-party, industry-validated resins for use with its additive manufacturing platforms.

Expanding a Unified Product Portfolio Across Metals, Composites, and Polymers

EnvisionTEC brings a compelling product portfolio for producing photopolymers under Desktop Metal’s umbrella, including the new Envision One and Xtreme 8K printing platforms designed for cost-effective volume production. The Xtreme 8K platform, which is expected to begin commercial shipments in the first quarter of 2021, features the largest build area among production-grade DLP printers. The Xtreme 8K leverages patented projection array technology and is capable of delivering build speeds up to 100 times those of legacy thermoplastic 3D printers1 and at a fraction of the hardware price of comparable solutions. The Envision One platform, which includes models for dental, medical, and industrial segments and for high temperature resins, leverages patented continuous digital light manufacturing (cDLM) and domeless basement technologies to deliver high-speed, end-use parts production with exceptional accuracy.

EnvisionTEC is also a pioneer in digital biofabrication additive manufacturing with its Bioplotter platform, which supports the production of biocompatible parts for medical applications such as bone regeneration, cartilage regeneration, soft tissue fabrication, drug release, and organ printing.

Scaling Distribution and Access to New Verticals Through Complementary Channels

The acquisition more than doubles Desktop Metal’s global distribution network and increases its geographic sales capabilities to 68 countries around the world. EnvisionTEC adds a robust set of vertically-focused partners in the dental and jewelry markets, which Desktop Metal plans to leverage to sell its metal additive manufacturing solutions. In addition, Desktop Metal’s horizontally-focused channel partners will provide an outlet for distributing EnvisionTEC products and scaling its sales, particularly in industrial, education, and R&D segments.

Leveraging Desktop Metal Technology to Advance Digital Casting Solutions

Through this acquisition, Desktop Metal will gain digital casting capabilities via EnvisionTEC’s industrial-scale robotic additive manufacturing (RAM) product platform. EnvisionTEC’s RAM systems, which are available for as little as one-fourth of the price of slower legacy alternatives, use patented technology to produce mold cores and investment casting patterns for foundry applications using either Polymethyl Methacrylate (PMMA) or silica sand. Desktop Metal plans to significantly advance the performance of this platform with the proprietary and patent-pending Single Pass Jetting™ technology originally developed for its Production System™ to drive productivity enhancements and improve part economics across builds as large as 1.8 x 0.9 x 0.9 meters.

Conference Call Information

Desktop Metal will host a conference call on January 15, 2021, at 8:15 AM ET to discuss the transaction. The conference call will be webcast simultaneously to the public through a link on the Investor Relations section of Desktop Metal’s website, www.ir.desktopmetal.com.

New report from FDI World Dental Federation tackles oral health inequalities and outlines strategies to improve oral healthcare over the next ten years

Posted on Monday, January 18, 2021

Coinciding with the 148th session of the World Health Organization Executive Board, where an oral health resolution is on the agenda for adoption by governments, FDI releases Vision 2030: Delivering Optimal Oral Health for All, a timely report that offers a comprehensive, inter-disciplinary roadmap on how to impact health policies and tackle challenges to improve oral health and reduce oral health inequalities over the next decade.

Vision 2030 recommends strategies to address the oral disease burden that communities can adapt to their own needs and circumstances, enabling them to implement relevant solutions. The report also considers how broad societal shifts, such as ageing populations, will require the oral health workforce to adapt and remain equipped to deliver consistent care.

"Vision 2030 outlines the ways in which we can integrate our profession within global development agendas, including the UN Sustainable Development goals and the implementation of universal health coverage, that determine important health priorities," says Prof. David Williams, FDI Vision 2030 Working Group co-chair.

Prof. Michael Glick, FDI Vision 2030 Working Group co-chair, adds: "How can we, as members of the oral health community, anticipate transformational changes and trends in the global healthcare environment? How do we seize opportunities to become productive members of healthcare teams delivering person-centered care? These are some of the broad questions we strive to answer through Vision 2030."

Achieving optimal oral health for all requires strong advocates who are ready to tackle this major public health challenge. Through the steps laid out in Vision 2030, the oral health profession will be well-equipped to argue for the better integration of oral health within overall health, united behind a set of shared aims.

The authors of the Vision 2030 report, an expert team of professionals hailing from diverse sectors within the healthcare community, have emphasized the need to engage with the public, as well as a range of other stakeholders. Vision 2030 calls for patients themselves to be well-informed advocates for their own oral health and be able to take an active role in their treatment decisions. From the patient to the profession, Vision 2030 drives the message home that there is no health without oral health.

P&G Commits to Enable 2 Billion People to Adopt Healthy Oral Care Habits by 2030

Posted on Thursday, January 14, 2021

Procter & Gamble (P&G) Oral Care seeks to advance healthy oral care habits to transform people’s health while reducing impact on the planet through its new sustainability commitments. The platform, “Healthy Smiles. Healthy Lives. Healthy Planet.”, guides its oral care brands, including Oral-B and Crest, to help unlock the lifechanging power of healthy oral care habits for all.

The World Health Organization estimates oral diseases affect 3.58 billion people, with cavities being the most prevalent issue. Both Oral-B and Crest are working to educate and enable 2 billion people to adopt healthy oral care habits by 2030, reducing their environmental footprint and enabling responsible consumption along the way.

“We are on a mission to help more people around the world understand the connection of their oral care routine to their overall health and how small changes can make a big impact,” said Alexandra Vegas, Senior Vice President Global Oral Care, P&G. “As we encourage everyone to brush twice daily for two minutes, we’ll continue to introduce products that make people want to build those healthy habits.”

Oral-B and Crest will focus their efforts on education and advocacy; enabling access to dental products and services; and innovation that makes the adoption of healthy habits enjoyable. Oral-B’s free Disney Magic Timer app, for example, is making 90% of kids brush for longer, establishing healthy brushing habits early on in childhood.

Healthy Habits for People

To drive healthy habits for people, Oral-B and Crest will improve access to oral care solutions and education to establish better oral health habits and continue to provide safe products with transparency.

During the COVID-19 pandemic, when people couldn’t visit their dentist, the brands helped protect oral health through educational articles, videos and livestreaming sessions. In the U.S., they have donated millions in product and dental care through their partnerships with Feeding America, Dental Lifeline Network and America’s Tooth Fairy. Oral-B and Crest will continue to partner with dental professionals, retailers and consumers to make progress.

Healthy Habits for the Planet

To drive healthy habits for the planet, Oral-B and Crest will encourage and enable responsible consumption by making their packaging 100% recyclable, starting with the transition to recyclable toothpaste tubes in Europe, the U.S. and Canada by 2025.

P&G Oral Care will also reduce its environmental footprint and strive for circular solutions while working with suppliers to secure transparent and responsible sourcing. Specific goals include reducing greenhouse gas emissions in operations and improving water efficiency by 35% in P&G sites by 2030.

Today P&G Oral Care factories send zero manufacturing waste to landfill globally, and all U.S. and European sites purchase 100% renewable electricity. The company has improved energy efficiency across its global Oral Care production sites by nearly 20% since 2010.

These goals are rooted in P&G's Ambition 2030 Sustainability Program, as well as three United Nations’ Sustainable Development Goals: Good Health and Wellbeing, Responsible Consumption and Production, and Reduced Inequality.

“We take a holistic approach in the way we design our oral health innovation, considering both the health of people and our planet,” said Lisa Ernst, Senior Vice President Oral Care R&D, P&G. “For example, our Oral-B electric toothbrushes help people brush better for longer and reduce oral care issues such as gum inflammation. For people who prefer to use manual toothbrushes, Oral-B Clic features replaceable toothbrush heads that reduce plastic waste by 60%.”

DenMat Launches ZEN CP+ Desensitizing Gel

Posted on Thursday, January 14, 2021

Today DenMat Holdings, LLC (“DenMat”) announced that it has launched another new product in the Oral Hygiene category, ZEN CP+. This unique desensitizing gel alleviates tooth sensitivity and discomfort by delivering nano-sized calcium phosphate minerals to the tooth surface, occluding and penetrating deep inside the dentinal tubules. The patent-pending microsphere technology reacts with saliva to deliver mineral-forming calcium phosphate ions.

“This innovative new product helps dental professionals treat tooth sensitivity by using what is already present in the tooth – calcium phosphate” says David Casper, CEO of DenMat. “Our team recognized a need for a new product in this space, one that treats patients in a safer, more effective manner. University research data shows ZEN CP+ to be a superior alternative to other desensitizing products in its ability to occlude dentinal tubules.”

ZEN CP+ is formulated with CAPOSAL® microsphere technology, featuring small particles consisting of calcium phosphate that penetrate the dentin tubules and rapidly release calcium and phosphate ions for rapid mineralization. Minerals are formed deep into the dentin tubules and are unaffected by wear and acid. ZEN CP+ does not contain any milk-derived proteins so it is safe for all patients including those with milk-based allergies. Designed for daily use, ZEN CP+ is available in 45 gram tubes and is simply brushed on to the teeth as part of one’s daily oral care regimen.

ZEN CP+ will be available to dental professionals via dental dealers and will be available to consumers through dental offices in the United States and Canada. For more information visit https://www.denmat.com/zencp
